## Quick answer

Often, yes, if the business licenses a de-identified copy before signing or keeps the right to in the purchase agreement. After closing, the records usually belong to the buyer of the business. Disclose any license to the buyer. Privacy law treats the two routes differently: transferring personal information to the acquirer is generally allowed as part of the sale, but licensing it to an AI company is treated as a sale of personal information, so de-identify first. Accounting and law practices also face professional confidentiality rules.

## Key points

- Decide before signing the purchase agreement: license first, carve the right out, or leave it to the buyer.
- A separate license is not covered by the acquisition exemptions in privacy laws.
- A one-time license fee rarely changes the sale multiple; a recurring license can.

## Two ways the data can earn money in a sale

Company records can add value in a sale in two separate ways, and they need different paperwork.

| Route | How it works | Who decides |
| --- | --- | --- |
| Data goes with the business | Records transfer to the buyer of the company as part of the asset or share sale. | The purchase agreement |
| A separate data license | A de-identified copy of selected records is licensed to an AI company for a one-time or recurring fee. | The business before signing; the new owner after closing |

## License before signing, or carve it out

Timing decides who receives the fee.

- Before signing: the fee goes to the business, and to you only through the sale proceeds or a distribution. Disclose the license, because most purchase agreements ask whether data has been licensed or sold, and an undisclosed license can breach the seller's representations.
- Between signing and closing: interim covenants in the purchase agreement usually require the buyer's consent before new material contracts.
- In the deal: list the license, or the right to grant one, as an excluded asset or a retained right in the asset purchase agreement.
- After closing: the records usually belong to the buyer, so any license needs the new owner's agreement.
- In a shutdown with no buyer: the records can be licensed as part of winding down; see [selling company data after closing](https://origindatapartners.com/guides/sell-company-data-after-closing).

## The privacy rule that changes between the two routes

Privacy laws usually treat a transfer of personal information to the acquirer of a business more leniently than a sale to anyone else. California's definition of "sell" excludes a transfer to a third party as an asset that is part of a merger, acquisition, bankruptcy or similar transaction in which the third party takes control of all or part of the business. A separate license to an AI company is not that transaction, so for businesses covered by the CCPA, any personal information in it is treated as a sale or a share. De-identify before licensing.

The FTC has warned that quietly changing privacy terms so that data collected earlier can be used for AI training may be unfair or deceptive. Use the promises in force when the data was collected.

In US bankruptcy, a sale of personal information that conflicts with the debtor's privacy policy can require a consumer privacy ombudsman under 11 U.S.C. 363(b)(1) and 332.

## Professional practices: accounting, law and IT services

Selling a professional practice adds professional rules on top of privacy law.

| Practice | Rule to check first | Guide |
| --- | --- | --- |
| Accounting and tax practice | IRC 7216 consent for tax return information; AICPA confidentiality | [Section 7216 and AI data licensing](https://origindatapartners.com/guides/section-7216-ai-data-licensing) |
| Law practice | ABA Model Rule 1.6 and state equivalents; ABA Formal Opinion 512 | [Law firm ethics rules for AI data licensing](https://origindatapartners.com/guides/law-firm-ai-data-licensing-ethics) |
| MSP or IT services firm | Client contracts and data processing terms | [IT services and MSPs](https://origindatapartners.com/who-we-help/it-services-and-msps) |

## Does licensing data raise the sale price?

Rarely directly. Buyers of a business price recurring revenue and earnings, and a one-time license fee is usually treated as a non-recurring item. A recurring license with a contracted term can count toward revenue if it transfers with the business. Discuss it with your M&A adviser before signing anything.

## Next step

Describe the business, the systems that hold its records and the expected closing date. No files are needed, and nothing is shared with a buyer without your approval.

Origin Data Partners is independent and is not affiliated with any AI data buyer. We help owners compare buyers and find the best fit for their records. [See what your data is worth](https://origindatapartners.com/check-fit).

## Questions and answers

### Can I sell my company's data separately when I sell the business?

Yes, if the business licenses a de-identified copy before signing or keeps that right in the purchase agreement, and you disclose it to the buyer. After closing, the records normally belong to the buyer, so any license needs their agreement.

### I am selling my accounting practice. Can I license its records to AI companies?

Only within IRC 7216: tax return information needs each client's written consent in the form the regulations require, and the AICPA Code requires client confidentiality. Firm procedures, checklists and templates without client information are the realistic scope.

### I am selling my law practice. What happens to the files and can I license them?

Client files go to the buyer or back to clients under your state's rules on the sale of a law practice, and client confidentiality continues. Firm-authored templates and procedures can be licensed; client documents generally cannot without informed consent.

### Does licensing data increase my company's valuation?

Rarely directly. Business buyers price recurring earnings, so a one-time license fee is usually treated as non-recurring. A recurring license with a contracted term that transfers with the business can add to revenue.

### Is a data license a sale of personal information under privacy law?

If personal information is included, generally yes. California, for example, excludes transfers to the acquirer of a business from its definition of "sell", but a license to an AI company is not that transaction. De-identify the records first.
